Data Products Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the data services (“Services”) provided by DAYS SOLUTIONS LLC (“we,” “us,” or “our”). By accessing or using our Services, you agree to these Terms. If you do not agree, you must not use our Services.

1. Services Provided. We provide access to data products, including but not limited to transformed and analysis-ready datasets, through platforms such as the Snowflake Marketplace or other designated channels. Specific details of the data products offered will be provided at the time of subscription or purchase.

2. License and Usage Rights.

2.1 License Grant. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Data Product solely for your internal business purposes.

2.2 Restrictions. You may not:
– Redistribute, sublicense, resell, or otherwise make the Data Product available to third parties without prior written consent.
– Use the Data Product for unlawful purposes.
– Modify, reverse engineer, or create derivative works from the Data Product.

3. Pricing and Payment.

3.1 Subscription Fees. Access to the Data Product requires payment of a subscription fee. Fees will be communicated at the time of subscription or purchase and may be subject to change.

3.2 Payment Terms. Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method according to your chosen plan. Fees are non-refundable except as required by law.

3.3 Taxes. You are responsible for any applicable taxes, duties, or fees associated with your use of the Services.

4. Data Accuracy and Availability.

4.1 Data Accuracy. While we strive to ensure the accuracy of the Data Product, it is provided “as is” without warranties of any kind. We disclaim all liability for errors, omissions, or inaccuracies.

4.2 Availability. We aim to provide uninterrupted access to the Data Product. However, access may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances.

5. Intellectual Property. All rights, title, and interest in the Data Product and related materials remain with us. You acquire no ownership rights under these Terms.

6. Termination. We may suspend or terminate your access to the Services if you breach these Terms. Upon termination, your license to use the Data Product ceases immediately.

7. Limitation of Liability. To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Services, even if advised of the possibility of such damages. Our total liability is limited to the fees paid by you in the preceding 12 months.

8. Indemnification. You agree to indemnify and hold us harmless from claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Data Product or breach of these Terms.

9. Governing Law. These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

10. Changes to Terms. We reserve the right to modify these Terms at any time. Changes will become effective upon posting. Your continued use of the Services constitutes acceptance of the revised Terms.
